Напомним, что Совет директоров Газпрома 12 июля одобрил сделку по приобретению акций Зарубежнефтегаза у Стройтрансгаза и Зарубежнефти. Газпром выкупил акции Зарубежнефтегаза - 24.9% у Зарубежнефти и 15% у Стройтрансгаза.

Кроме того, Совет директоров Газпрома в сентябре одобрил схему консолидации активов бытового газоаппаратостроения в Газмаше и приобретение Газпромом допэмиссии Газмаша, а также приобретение Газмашем долей в уставных капиталах ООО "Каневский завод газовой аппаратуры" и ООО "Армавирский завод газовой аппаратуры".

Газпром является крупнейшим собственником активов в сфере бытового газоаппаратостроения в России. В 2005 году предприятия группы Газпром произвели более 60% газовых плит и 53% проточных водонагревателей от всего объема выпуска российскими компаниями.

В структуру указанных активов компании входят: "дочка" Газпрома Газмаш (92.5%), "дочки" Газмаша ОАО "Владикавказ-Газоаппарат" (51%), ОАО "Газаппарат" (63%), ОАО "Волгогазоаппарат" (53%), Чайковский и Балакиревский филиалы, производства газовой аппаратуры в Чайковском (Пермская область), в поселке Балакирево (Владимирская область), Санкт-Петербурге и Владикавказе. В структуру также входят дочерние общества ООО "Кубаньгазпром" - ООО "Каневский ЗГА" (100%) и ООО "Армавирский ЗГА" (99.93%), филиал ОАО "Спецгазавтотранс" - завод по производству газовых плит в Воткинске (Удмуртская республика).

Зарубежнефтегаз - один из операторов зарубежных проектов Газпрома. Компания участвует в различных проектах: геологическое изучение недр; разработка, обустройство месторождений; реконструкция газотранспортных систем; расширение мощностей подземных хранилищ газа; транспортировка и сбыт газа.

В настоящее время акционерами Зарубежнефтегаза являются Газпром (60. 1%), Зарубежнефть (24.9%), Стройтрансгаз (15%).

Основной целью консолидации этой компании является организация подрядной работы за рубежом. Как сообщал в ходе годового собрания акционеров предправления Газпрома Алексей Миллер, концерн намерен организационно оформить зарубежные проекты в соответствии с мировой практикой. При этом Зарубежнефтегаз пока не рассматривается как структурная единица, на базе которой Газпром будет выстраивать новую схему управления зарубежными проектами.

Сургутнефтегаз может выкупить допэмиссию банка "Россия" в размере 6.8% от увеличенного уставного капитала за 1.1 млрд руб.

Совет директоров ОАО "АБ "Россия" принял решение разместить по закрытой подписке допэмиссию в размере 6.8% от увеличенного уставного капитала. В числе потенциальных приобретателей всего объема допэмиссии определено ОАО "Сургутнефтегаз", говорится в сообщении банка.

Допэмиссия включает 305 тыс. привилегированных акций номиналом 100 руб. The price of placing one security is determined by 3.6 thousand rubles.

Таким образом, Сургутнефтегаз должен будет направить 1.098 млрд руб. в случае приобретения всех дополнительных акций.

Банк "Россия" зарегистрирован в 1990 году. Уставный капитал банка составляет 419.45 млн руб. Балансовая прибыль банка, согласно оборотной ведомости ЦБ, в 2006 году составила 925.7 млн руб., чистая прибыль 787.9 млн руб.
