К 20 существующим ОГК и ТГК будут также присоединены соответствующие миноритарные холдинги (с ОГК-5 и ТГК-5 это произойдет уже в III квартале 2007г.). Пять холдингов, образованных при разделении РАО ЕЭС, так и останутся существовать в качестве "целевых структур" - ОАО "Холдинг МРСК", ОАО "РАО Энергетические системы Востока", а также спецхолдинги ОАО "Интергенерация" Норникеля, ОАО "Центральный энергетический холдинг" Газпрома, ОАО "Сибирский энергетический холдинг" СУЭКа.

По итогам реорганизации появится еще одна компания - ОАО "Интер РАО ЕЭС". Она будет образована путем присоединения к ОАО "Сочинская ТЭС" ЗАО "Интер РАО ЕЭС", "Интер РАО ЕЭС Холдинг", Северо-Западной ТЭЦ, Калининградской ТЭЦ-2 и Ивановских ПГУ. В результате преобразований Сочинская ТЭС будет переименована в ОАО "Интер РАО ЕЭС".

Как выразился А.Чубайс, Норникель и СУЭК "пожелали" обмениваться только долями в ОГК и ТГК, Газпром же захотел использовать при обмене еще и долю в ГидроОГК (Газпром, правда ранее настаивал и на ФСК, но это не устраивало МЭРТ). Совет директоров такую схему одобрил. В результате газовый холдинг получит контроль над интересующими его ОГК-2 и ОГК-6 (по 55% и 52% соответственно). Кроме того, по итогам обмена Газпром получит небольшие пакеты акций в ТГК: в ТГК-11 - чуть более 5%, ТГК-12 - более 4%, ТГК-13 - чуть менее 5%. Доля СУЭК увеличится в ТГК-12 на 5% (сейчас у СУЭКа - 36,6%), в ТГК-13 - на 12% (доля СУЭКа сейчас составляет 32%). Доля "Норникеля" в ОГК-3 вырастет по результатам обмена на 4%. В настоящее время у "Норникеля" 46,6% акций ОГК-3, после выкупа акций у акционеров ОГК-3 в рамках обязательного предложения "Норникель" увеличит долю в компании до 73,49%.

Утверждение схемы обмена сняло последние препятствия на пути принятие решений по окончательной реорганизации РАО ЕЭС. Последнее слово останется за внеочередным собранием акционеров, которое назначено на 26 октября 2007г. Акционеры должны, в частности, утвердить разделительный баланс. При этом, акционеры проголосовавшие против завершения реорганизации и соответствующих процедур, смогут предъявить свои акции РАО ЕЭС к выкупу. Цена акций для выкупа утверждена советом директоров в размере 32,15 руб. за одну обыкновенную и 29,44 руб. за одну привилегированную акцию. А.Чубайс также сообщил, что акционеры, не голосовавшие против, но участвовавшие в собрании, будут считаться голосовавшими "за" реорганизацию. По крайней мере, это предусмотрено поправками в закон о реформировании РАО ЕЭС, которые, надеется глава РАО, Госдума примет до проведения собрания.

В целом, заявил А.Чубайс, реформирование РАО ЕЭС идет по установленному графику. Это означает, что после 30 июня 2008г. РАО ЕЭС перестанет существовать. До этого момента менеджменту РАО предстоит еще многое сделать. В частности, провести допэмиссии ОГК и ТГК и продать приходящиеся на долю государства акции генкомпаний. Несмотря на то, что продажи уже идут, РАО не устает добавлять новые детали в условия вхождения в ОГК и ТГК. Прошедший 27 июля с.г. совет директоров преподнес потенциальным инвесторам еще один сюрприз: теперь ОГК и ТГК должны будут заключать с НП "АТС" и ЗАО "Центр финансовых расчетов" (АТС/ЦФР) договоры о предоставлении мощности на оптовый рынок в соответствии с утвержденными инвестпрограммами. Обеспечить мощности должны будут новые акционеры. Кроме того, в рамках допэмиссий ОГК и ТГК планируется заключать соглашения акционеров. Соглашение закрепит намерения акционеров осуществлять все необходимые юридические и фактические действия в целях выполнения утвержденной инвестиционной программы генкомпании. Первыми такие соглашения заключат будущие акционеры ОГК-4 и ТГК-1. В связи с этим прием заявок для участия в допэмиссиях этих компаний отложен до 14 сентября 2007г.

РАО ЕЭС спешит до начала окончательной реорганизации решить ряд накопившихся проблем. В частности, совет директоров утвердил соглашение о совместных действиях энергохолдинга, правительства г.Москвы и группы Газпром по консолидации и управлению электросетевыми активами Москвы и Московской области, чего рынок ждал довольно длительное время. На базе Московской объединенной электросетевой компании в результате будет образована единая сетевая компания города и области. Аналогичное решение по объединению московских теплосетевых активов планируется принять на ближайшем очном заседании совета директоров. Что касается сетей Санкт-Петербурга, то сегодня, наконец, была одобрена допэмиссия "Ленэнерго" в пользу администрации города. Санкт-Петербург получит блокпакет в "Ленэнерго" в обмен на сети, принадлежащие в настоящий момент городу. Таким образом будет произведена консолидация питерских сетей. На сегодняшнем заседании совет РАО также одобрил приобретение у Fortum части его доли в "Ленэнерго". В последствии финский концерн намерен полностью выйти из уставного капитала "Ленэнерго".

Напомним, что в настоящее время РАО ЕЭС осуществляет реорганизацию, которая должна пройти в два этапа. На первом этапе из холдинга будут выделены ОГК-5 и ТГК-5 (август-сентябрь 2007г.), а на втором - произойдет разделение РАО ЕЭС с выделением государственных и миноритарных долей в компаниях холдинга. Реорганизация должна завершиться к 1 июля 2008г. Регулирующие функции будут переданы одному из министерств или ведомств. В качестве одного из вариантов называлось Росэнерго. Кроме того, менеджмент РАО ЕЭС обсуждает с министерствами создание саморегулируемого органа, в который войдут представители основных участников рынка электроэнергетики. Вероятней всего, это будет некоммерческая организация с рабочим названием "Совет рынка", сформированная по принципу действующего некоммерческого партнерства (НП) "АТС". По мнению А.Чубайса, такая организация может стать дополнением к государственному органу регулирования электроэнергетического рынка после завершения реорганизации РАО ЕЭС в июле 2007г.

Акционеры ОГК-5 переизберут совет директоров в связи с покупкой итальянской Enel ее блокпакета

Совет директоров РАО "ЕЭС" поручил своим представителям в совете директоров ОГК-5, объединяющей четыре ГРЭС, поддержать созыв внеочередного общего собрания акционеров компании для переизбрания совета директоров и ревизионной комиссии в связи с появлением нового акционера, сообщила в пятницу пресс-служба энергохолдинга. В начале июня этого года Enel Investment Holding BV стала победителем открытого аукциона по продаже 25,03% акций ОГК-5, принадлежавших РАО, предложив за них 39,2 миллиарда рублей. С завершением процедур продажи акций ОГК-5 и ее выделения из РАО (в третьем квартале 2007 года) доля государства в уставном капитале компании сократится максимум до блокирующей.

"Северсталь-авто" и японская Isuzu подпишут соглашение о создании СП

ОАО "Северсталь-авто" и японская автомобилестроительная компания Isuzu Motors, как ожидается, подпишут в понедельник соглашение о создании совместного предприятия (СП) "Северстальавто-Исудзу", говорится в сообщении российской компании. "Это предприятие станет первым российско-японским СП в автомобильной промышленности", - отмечается в пресс-релизе.

Проект, претендующий на статус "промышленной сборки", предусматривает организацию в России полного производственного цикла по выпуску автомобилей Isuzu, а также их последующую локализацию. Isuzu и "Северсталь-авто" подписали протокол о создании российского СП в конце февраля. Производственные мощности предприятия составят 25 тысяч автомобилей в год.

Предполагается, что оно будет производить широкую линейку грузовых автомобилей Isuzu нового поколения. "Северсталь-авто" владеет контрольными пакетами акций ОАО "Ульяновский автомобильный завод", ОАО "Заволжский моторный завод" и ОАО "Завод микролитражных автомобилей", является единственным в России производителем автомобилей SsangYong и Fiat. Основным (58%) акционером компании является ее гендиректор Вадим Швецов.
