On the raid

Every day in information agencies there are several reports about attempts by unfriendly absorptions of various industrial enterprises. Usually, special raider structures are engaged in the capture of enterprises. Their activity is always accompanied by various violations.

There are three schemes of the Raid Attack. “Black” is accompanied by violation of criminal legislation, “gray” - violation of administrative legislation and “white” - this is an attack with a violation of moral and ethical norms. Unfortunately, these are the realities of current economic relations.

And in this, oddly enough, the directors of companies that have undergone aggression are guilty.

Raiders seek out enterprises with underestimated assets in the market. Then there is a purchase of a minority package of shares - usually within 5-10 percent. Like any shareholder, a raider, having invested funds in the acquisition of securities, wants to receive a return on dividends from them. However, the company that has undergone aggression usually does not have financial capabilities to pay dividends to a volume that would satisfy the raider. This encourages the raider to enter into negotiations with the management of the enterprise in order to force him to sell a control package or change the director. In the negotiations, the raider reinforces his minority package with a copomat on the director, numerous court claims and executive sheets received by corruption methods. Such an attack can actually block the work of the enterprise. The goal of the aggressor is one - to turn the asset from the underestimated into evaluated and sell it.

It is clear that no one wants to lose their business and the negotiation process is simply ignored. Or the director begins to defend himself with all the methods available to him and often crosses the line of the law.

This is just the raiders.

The director of the enterprise who violated the law can no longer apply for support to state bodies, with which, by the way, the raiders themselves are often very warm relationships. Even among the members of the Federation Council there are representatives who previously headed companies specializing in unfriendly absorptions.

The director understands that along with the invaders, or even alone, he can easily get his "five -year -old" in Siberia. As a result, one way is to accept the conditions of the invaders.

It is quite obvious that the raid cannot be stopped by any legislative measures, indicative criminal processes. You can create any working groups to combat raiders in the RSPP and CCI, but all this is pointless.

Currently, in the capital in the development of raiders, in particular, there are such large enterprises as the Red Proletarian and Mosavtotrans.

Every year, according to independent experts, more than 300 companies are subjected to unfriendly seizure in Moscow, the total market value of which exceeds $ 3 billion. In the whole country, this amount is almost an order of magnitude more. And it will continue to increase until the activities of domestic companies become transparent. Until a new formation of managers who do not have their own "skeletons in the closet." And while public structures will not stop providing their "services" to raider structures.
