This is the result of an extraordinary meeting of shareholders initiated by the European Bank for Reconstruction and Development (EBRD), the largest shareholder of the enterprise.
The head of the bank's representative office in the Khabarovsk Territory, Pavel Katanchik, explained the need for the meeting with concern for the fate of the region's largest producer of dairy and soy products. At one time, the bank invested $2.6 million in the company, receiving in return 35% of ordinary shares. Representatives of the bank believed that the plant was in danger of being squeezed out of the market by competitors and its management, headed by General Director Nikolai Kuzmenko, was directly responsible for this.
Until recently, the EBRD was unable to influence the policy of the plant's management. At the same time, over the past two months, with the help of the Primorye company Synergy, the bank managed to consolidate over 51% of the company's shares. As a result, at an extraordinary meeting of shareholders, the former management of the dairy plant was removed from management, and the vice-president of Synergy, Mr. Oleynik, became the new general director of the enterprise. However, other large shareholders, owning 46% of the shares, did not agree with the decisions of the meeting, considering its very holding unauthorized. They were supported by representatives of the State Property Management Committee of the Khabarovsk Territory, who were also present at the meeting.
“We are filing a claim with the arbitration court to invalidate the decision of this meeting,” said deputy chairman of the committee Alexander Glushkov. “I want to warn shareholders that in the Khabarovsk Territory we will not allow the use of force to change the management bodies of a joint-stock company.”
Until the court verdict, the plant will be managed by the same management. Relying on public support from the administration of the Khabarovsk Territory, Nikolai Kuzmenko stated that he “will not allow new owners to enter the territory of his enterprise.”
