Yesterday it became known that co-owners of Agromashholding Yuri Koropachinsky and Oleg Kirillov are selling their share in the holding to its other owner - the Industrial Investors group of Sergei Generalov. The partners themselves claim that they are “restructuring assets in order to increase the transparency of the company,” but do not deny that after this Agromashholding may have a new co-owner. The regional administration of the Federal Antimonopoly Service (FAS) assumes that it will become the main competitor of the Rostselmash OJSC holding.
"Agromashholding" was formed in March 2003 by "Sibmashholding", the Kazakh design bureaus "Caspian" and "Dostar-holding" (control the Kustanai diesel plant) and the group "Industrial Investors" (PI) of Sergei Generalov. PE received a 50 percent share in the holding in exchange for the Volgograd Tractor Plant (VgTZ). Sibmashholding and its partners from Kazakhstan contributed their assets in agricultural machinery (the distribution of shares between them is not disclosed).
The key enterprises of Sibmashholding are the Krasnoyarsk Combine Harvester Plant and Altaidiesel, which produce about 40% of Russian combine harvesters and 60% of diesel engines. Its annual turnover is $200 million. The holding is controlled by Krasnoyarsk entrepreneurs Yuri Koropachinsky and Oleg Kirillov.
Its co-owners announced plans to transfer the enterprises under their control to a single share within Agromashholding last year. At the same time, the partners partially exchanged assets: PE received a share in the Krasnoyarsk Combine Harvester Plant PA, Sibmashholding received a share in VgTZ. However, yesterday the Regnum news agency, citing the FAS department for the Krasnoyarsk Territory, reported that Yuri Koropachinsky and Oleg Kirillov were selling their shares in PA, Sibmashholding and Agromashholding to Mr. Generalov’s structures.
Deputy head of the regional department of the FAS Oleg Kharchenko confirmed to Kommersant that four transactions for the sale by entrepreneurs of their shares in Sibmashholding and Agromashholding are at the final stage. The buyer is a certain LLC, recently registered in Moscow. “We contacted the authorized representative of this LLC and found out that it is directly related to the team working at VgTZ, controlled by the private enterprise,” explained Mr. Kharchenko.
PI Kommersant said yesterday that the movement of shares of Sibmashholding enterprises is indeed taking place and the securities are being transferred to the nominal holding of companies close to the group. “This does not mean a change in the structure of the real co-owners of the assets,” explained the PI. “Today, behind Agromashholding there are dozens of disparate enterprises with a confusing legal ownership structure, which is why all the holding’s efforts to attract investors are in vain. So we are just trying to do 'Agromashholding' is a transparent company." Sibmashholding also denied information about the sale of their shares by Messrs. Koropachinsky and Kirillov, supporting the statements of the private enterprise about the planned restructuring of assets.
Meanwhile, Mr. Kharchenko notes that the central office of the FAS treats the deal “casually”: “The center did not set any conditions for the LLC, which is acquiring one of the largest engineering assets in the country. We believe that Sergei Generalov is acquiring this business for resale, and It is possible that the buyer will be the structures of Sibmashholding’s main competitor, Rostselmash OJSC.”
Rostselmash declined to comment on this information. The PI confirmed that after the restructuring, which is expected to be completed by the end of the year, part of the holding’s securities may be sold to a third-party investor, but they refused to say with whom negotiations are underway about this. At the same time, the private investors expect to remain among the shareholders, although the group’s share in Agromashholding may decrease. And the press service of the holding says that a new owner may appear as a result of the restructuring.
