Sberbank-Capital managed to sell the assets of the Arzil steel plant at an auction. The company bought Georgievsky Armature Plant LLC, registered in Moscow, for 106 million rubles. SBK does not comment on the results of the auction. The government of the Stavropol region does not know the reason for selling a working enterprise for next to nothing. A source in the regional Ministry of Economic Development suggested that in this way Sberbank intends to transfer the assets of the enterprise to a new legal entity.

On December 21, the assets of the St. George reinforcement plant of JSC Arzil were sold from the site of the Russian Auction House (RAD). The property of the enterprise, put up for sale by Sberbank-Capital, was sold in two lots. The first included buildings and land, the second - fixed assets of the enterprise. As Kommersant was told by the RAD, the auction was won by Georgievsky Armature Plant LLC, which had to pay 106 million rubles for Arzil. with an initial cost of 101.2 million rubles. “The auction took place, the price was raised by two steps,” said Vadim Pirushin, a representative of the auction house. He found it difficult to answer who was behind the buyer of the enterprise. The RAD also does not report which other companies took part in the auction.

According to the Unified State Register of Legal Entities, Georgievsky Armature Plant LLC was registered in Moscow in May 2011. Authorized capital - 10 thousand rubles. Its sole founder is ZAO RusInvestProekt (Moscow). Among the founders of the company are Alexander Egorov and Sergey Kucheryavenko. Net loss in 2009 - 5.7 million rubles. RusInvestProm is engaged in the trade of food and non-food products, and also specializes in providing intermediary services related to real estate. According to the Unified State Register of Legal Entities, the company also owns a 50% stake in Bryanskstroyinvest LLC, which is engaged in construction and real estate operations.

SBK-Metal (manages the metallurgical assets of Sberbank) did not respond to Kommersant’s official request about the reason for the sale of Arzil. Arzil CEO Sergei Osadchiy also declined to comment. CJSC RusInvestProm did not explain why the St. George Iron and Steel Works was acquired. District and regional authorities are not aware of the situation at the enterprise. “I wrote a letter to SBK-Capital because I don’t quite understand the scheme for selling the enterprise,” Dmitry Samatov, the regional industry minister, told Kommersant. The administration of Georgievsk told Kommersant that Sberbank does not report to them.

Let us recall that the St. George valve plant of JSC Arzil, specializing in the production of industrial pipeline valves made of cast iron and steel, became part of the MAIR industrial group in 2001 along with the Krasnosulinsky Metallurgical Plant (Stax, Rostov region). After this, IARC took out a 2.2 billion loan from Sberbank for the development of the Sula asset, secured by Arzil’s property. In 2008, with the fall of the metal market, enterprises began to have financial problems, which led to delays in loan payments. In the summer of 2009, the group filed for bankruptcy at two factories. In May 2010, Sberbank announced the closing of a deal to acquire from the MAIR group a 77% stake in Rusvtormet Center CJSC, which owns the assets of the St. George's Valve Plant and Staks. Both enterprises were transferred to the management of Sberbank Capital, which planned to modernize and develop production. Now “Arzil” operates and produces products. In 2010, the company produced fittings worth 250 million rubles. The plant employs 600 people.

Previously, experts interviewed by Kommersant named the price at 101 million rubles. for the assets of the operating plant is inadequate. Sergei Osadchiy told Kommersant last week that Sberbank is trying to clear its assets of debt in this way. He declined to provide details.

It is noteworthy that Arzil does not have any serious debts, except for debts to Sberbank itself. We are talking about the 2.2 billion debt of MAIR, for which the enterprise is responsible.

Rusmet CEO Viktor Kovshevny suggested that Arzil required large investment injections, otherwise this asset could hardly show good economic results.

“Perhaps Sberbank did not want to spoil its reporting with a problem asset that had debts attached to it, and thus tried to transfer it to a new legal entity. Or the bank has long ago agreed on the sale of the enterprise with a specialized investor,” noted a source close to the government of the Stavropol region. In his opinion, RusInvestProject is an intermediary in the transaction for the sale of Arzil.
