Police prevented raider takeover of Azovbuv

Employees of the Department of Economic Security and Anti-Corruption of the Main Directorate of the Ministry of Internal Affairs of Russia for the Rostov Region detained suspects in an attempted raider takeover of the Azovobuv factory. As law enforcement agencies explain, three entrepreneurs re-registered ownership of the enterprise and were planning to sell it to dummies. The suspects were charged under articles of “fraud” and “falsification of a decision of the general meeting of shareholders.”

“Employees of the Department of Economic Security and Anti-Corruption of the Ministry of Internal Affairs for the Rostov Region detained suspects in an attempted raider seizure of an industrial enterprise in the city of Azov,” the department’s press service said in a statement. As a source in law enforcement agencies told Kommersant, we are talking about the Azov factory “Azovobuv”. According to him, on March 18, a certain Evgeniy Solomakhin contacted the Azov department for combating economic crimes, introducing himself as the general director of the factory, who stated that he could not enter the territory of the enterprise. After that, he came to the factory, accompanied by two other entrepreneurs named Glagola and Chernyaev and employees of private security companies, who attempted to seize the enterprise by force.

As Kommersant's source clarified, the factory employees managed to defend the enterprise, and its general director Tatyana Shikulya contacted the police. It was not possible to find Ms. Shikulya at her workplace yesterday. The work phone of the deputy head of the local administration for industry, economics and investment, Valery Yasko, was also not answered.

The investigation established that the raiders had previously falsified the minutes of the meeting of shareholders and the board of directors, allegedly held on March 3 and 5, 2012, at which Evgeny Solomakhin was elected general director. All documents were signed by fictitious chairman and members of the board of directors. Experts have determined that the seal impressions on the forged documents do not correspond to the original. However, the materials of the meeting were passed through the tax office and entered into the Unified State Register of Legal Entities (USRLE), which made it possible to legalize the change of owners. Then the suspects tried to sell the assets of the plant, the real value of which is 200 million rubles, to a figurehead - Dmitry Krizhanovsky for 6.5 million rubles, and contacted the Federal Service for State Registration, Cadastre and Cartography for the Rostov Region in order to register the transfer of buildings and structures .

Another source familiar with the situation said that the management of Azovobuv CJSC was constantly under pressure. After this, the factory owners decided to change the company’s registration address from Azov to Moscow. In his opinion, the raiders enjoyed the support of law enforcement and government agencies. “The plant’s property was seized and its accounts were blocked at the request of creditors. However, immediately before the seizure of the enterprise, the seizure of the assets was lifted,” noted Kommersant’s interlocutor.

As the press service of the regional Ministry of Internal Affairs explained to Kommersant, the raiders failed to carry out the deal - they were prevented by the police, who by that time were already working on the suspects. “They were detained in mid-May in Rostov. They had no previous convictions. They were charged under Part 4 of Art. 159 of the Criminal Code of the Russian Federation (fraud committed by an organized group or on an especially large scale) Part 1 of Art. 185.5 of the Criminal Code of the Russian Federation (falsification of a decision of the general meeting of shareholders (participants) of a business company or a decision of the board of directors (supervisory board) of a business company),” an employee of the department’s press service told Kommersant. Under these articles, raiders face up to three years in prison and a fine of up to 1 million rubles. In addition, the police have yet to figure out how the criminals managed to legitimize the seizure of the enterprise through government agencies.
