
The Mail.Ru Group Internet holding announced changes in the board of directors of the company who marks the holding of the holding under the control of its top managers.
The renewed composition of the Council included the holder of the holding Boris Dobrodeev, his deputy Dmitry Sergeev, Deputy Chairman of the Board of Gazprombank Alan Vaxman and the first vice president of the bank Sergey Mednov. They will replace, as part of the Council of the CEO of Megafon, Sergey Soldatenkov, head of the USM USM Holding Ivan Streshinsky, as well as the operating and commercial directors of MegaFon Anna Serebryanikova and Vlad Wolfson.
As Vedomosti explains, in total 10 directors in the Council and earlier five of them represented the interests of the structure of Alisher Usmanov USM and the “Megafon” associated with it. This summer, Megaphone, USM, Rostec and Gazprombank created a joint venture where Megafon has introduced its Internet holding package (5.23% of Mail.ru Group and 58.9% of the vote). The operator owns a 45% stake in the joint venture, another 9% at USM. After the creation of the MF technology, the structures of Usmanov were no longer owned by the controlling package of votes, but continued to control the company through the board of directors.
According to the company, now Megaphone and USM transferred the right to vote on their package in MF Technology Dobrodeev. SP in the Council of Directors of the Internet Holding also represent Sergeev and the co-founder of Mail.Ru Group Dmitry Grishin, who retained the chairman of the board of directors.
Changing the structure of the Council means that Usmanov gave the control of Mail.Ru Group to the holding top managers and partners. “I have been preparing this program in recent years, because I am sure that the younger generation should lead the high -tech companies - talented and ambitious people who are acutely feeling the development trends of a modern digital business,” Vedomosti's statement quoted.
“We are pleased to provide our support to the leadership and strategy of Mail.ru Group, thus expressing our votum of trust in the management team. We believe that this will make it possible to maximize the cost of our share in Mail.ru Group, which belongs through our participation in MF Technology JSC,” Gevork Vermishyan, the executive director of Megaphone, said.
It should be noted that the new capital structure and the board of directors of Mail.ru Group sharply reduces the risks of the distribution of US sanctions to the company if Alisher Usmanov personally falls under them.
