Why did the doctors in Vladivostok throw the new director with the helmets? The owner of the port and prisoner Lefortovo Ziyavudin Magomedov responds

A new “boiling point” appeared on the map of Russia. In the Vladivostok Sea Trade Port (SMTP) for several days, one and a half thousand workers have been protesting due to the resignation of the director Zairbek Yusupov and the appointment of Roman Kukharik instead. Protesters talk about an attempt by the raider seizure of the enterprise.

Last Monday, Arkady Korostelev, president of the FESCO transport group, which includes the Navy, came to the protesters. Korystylev, along with the cook, went to the impromptu scene, but they failed to turn to the protesters. Dockers threw helmets of managers, began to boil and chant "leave!".

The video recording of the incident, which fell into YouTube, has already gained several hundred thousand views.

Port workers protest because they fear a deterioration in working conditions with the advent of a new leader. According to them, under Yusupov "there were many positive changes in the port." “We felt like people with him, he gave us a worthy salary and worthy working conditions. There are no more such enterprises in the region, and our port has become so under Yusupov, ”says VMTP employee Vasily Nikitin.

The version of the capture of “New” was commented by the largest shareholder of FESCO, the founder of the Sumya Group of Companies, Ziyavudin Magomedov, who, on March 30, 2018, together with his brother Magomed, has been contained in the Lefortovo pre -trial detention center and is accused of creating a criminal community, fraud and embezzlement (Article 210, Article 160 of the Criminal Code).

On September 29, the statement of Ziyavudin Magomedov, written in the prison cell, was at the disposal of Novye Camera about the allegedly preparing raider seizure of the FESCO group of companies. According to the businessman, members of the board of directors, led by Leila Mammed Zade, plan to sell the company in which he is the main shareholder (32.5%). In his statement, Magomedov emphasized: he is especially regretted that people whom he personally hired and who trusted trusted in this process.

Mammed Zade quickly distributed a message in which she refuted the accusations of destroying Fesco, writing that her activities as head of the board of directors were “aimed exclusively at maintaining the integrity and financial stability of the company”.

“New” turned to Ziyavudin Magomedov for explanations, passing through lawyers to Lefortovo questions that we received answers.

And our first question was the question of the intensified situation in the Vladivostok Sea Trade Port. Magomedov replied:

-Probably, somewhere workers can be understood, because during the work of Yusupov the cargo turnover of the port doubled, the salaries of workers and social guarantees have significantly increased, and this is, against the backdrop of a difficult situation in the economy as a whole. The one who was appointed nobody is known to anyone and did not noticeably manifest himself in any way in the region or in the industry. For my part, I hope that the situation will calm down and the port will continue to work as usual.

At the same time, we must not forget that the new appointments were made illegitimate, these people are not known to anyone and do not have the necessary qualifications, they were appointed in violation of corporate procedures,

without consideration at the personnel committee of the board of directors, etc. And those board of directors, which was a “lame duck” by definition, as it was supposed to be re -elected in October. The legitimate acting general director of both FESCO and the port is Zairbek Yusupov, and the permanent manager must be appointed in accordance with all corporate procedures.

- In your appeal, you stated that the chairman of the board of directors of FESCO Leilammed Zadei other members of the board of directors, most of whom are your former employees, allegedly organized a raider attack on the company. Nomammed announces that she and the people from her team act in the interests of the entire group, returning the funds employed to the purchase of Fesco.

- “A group of comrades”, which engaged in Mammed Zade and her assistants to capture Fesco, has nothing to do with the FESCO group. I would not want to comment on the professional and ethical side in detail, it is known to everyone who is familiar with this story - bankers, lawyers, the entire business community, and not only in Russia, but also beyond its borders.

I only note that two years ago I decided to remove Mammed Zade, but legally I managed to issue this only recently - under various pretexts, all this time was not allowed a notary.

However, about my decision to deprive her of all the powers adopted in August 2018, her dysfunctionality and incompetence is well known to herself (this is confirmed by her letters and streams of interviews, in which she has long been about to leave voluntarily), both lawyers and the investigation. Of course, international courts will be informed about this, in which Mammed Zade will have to be responsible for claims for damage caused to my interests and interests of the company. A detailed audit is now being held, the corresponding conclusions will be made and formulated. Unfortunately, FESCO is damaged daily not only by monetization of fictitious multimillion -dollar agreements concluded by the company in the interests of certain persons, but also by the full paralysis of the work of the board of directors, which (along with the annual meeting of shareholders in May) was postponed under the absurd pretext of the recommendations of the Central Bank, and now the meeting was remotely.

- What can you say about the recently announced transaction on the purchase of a “group of investors” almost 34 percent of FESCO from Mark Garber and other shares? What is the future of Fesco?

- Sellers are well aware of all the circumstances of their possession, that this transaction is invalid, since it violates the commercial agreements that were between the parties, and this will undoubtedly be the subject of legal proceedings.

Together with the American TPG Group investment fund, we invested $ 750 million Equity (own capital) and about $ 850 million borrowed funds (which is a loan for shareholders that were mentioned) to the company. Since the purchase, we have traveled a long way, investing all funds in development, transforming the company into a high -tech transport group with a clear strategy. Ahead of the large infrastructure projects - the port of Zarubino, the Trans -Siberian Railway, the development of Severomorput, in which it is necessary to actively participate. During this time, the debt decreased to $ 400 million, EBITDA ( an analytical indicator equal to the volume of profit before deducting interest expenses for the payment of interest, taxes, wear and accrued depreciation. - I. M. ) amounted to $ 170-175 million, so there is no reason to doubt the future FESCO. The company is in a stable state.

By the way, none of the previous FESCO leaders-from Ruslan Alikhanov, husband Mammed Zade, who was president of the company in 2013-2014, to his full support and left from his post in March this year, for some reason, it did not occur to trying to try to demand loans from shareholders. Naturally, talking about some kind of withdrawal of money from the company is absurd, and everyone, including Mammed Zade, is obvious. That is why this issue has never been raised before.

- More than 2.5 years have passed since the arrest of you and your brother. You have repeatedly extended the deadline for detention, investigators changed, and presidential amendments were adopted, excluding the application of the 210th article to the activities of entrepreneurs. Do you have an idea of ​​the prospects of your criminal case?

- We completed the familiarization with hundreds of volumes, and, in short, I can confidently state either the absence of the events of us as such, or a certain cognitive inversion in the statements of the investigation, when the presence of third parties to my companies is issued as the opposite.

For example, I invested in the company OZK in 2012, when its annual loss was 1.5 billion rubles with revenue of 14 billion rubles; In 2018, the revenue was already 45 billion rubles, and EBITDA 6.5 billion rubles, the first part of the reconstruction of the largest sea grain terminal in the post -Soviet space was implemented, railway logistics was effectively designed (from the grain to the Grainage in Novorossiysk) with its railway park, in fact, a new competence was created.

To the engineering and construction business in the period 2015–2018. I invested about 23 billion rubles of my own funds, mitigating the consequences that arose due to customer failures, currency changes and unfulfilled obligations of counterparties. The failure of the accusations imputed to me is obvious and reinforced by the facts, so I count on a professional, correct and fair consideration of all circumstances during the trial.

- Do you have an understanding who may be interested in you are in a prison cell? There is a version who could "order" you?

“I can’t afford to blame someone until I have exhaustive evidence.” Although I understand very well that Art. 210 “pulled up” to me and my brother only because without this article of the Criminal Code we would have long had to be released on a recognizance not to leave or house arrest. I have no doubt that during the trial all the charges against me, and even more so against my brother, who has no relationship with the “sum” group, will be collapsed,

And it turns out that my brother and my brother were isolated in the cell just in order to capture my business, to force for nothing to sell the company's assets.

And that a criminal case against me has nothing to do with either the right or to justice.

- Being more than 2.5 years in a prison cell, you can evaluate the current state of your business, given that you have come out of all large projects? Do you plan to do business in the future, or do you see some other role for yourself?

-In 2000, I formulated for myself the goal of building the largest private port-logistics company, and by 2011-2012 this goal was achieved. According to the criteria for cargo turnover and geographical diversification of the company “Sum”, they occupied 2-3th place in Europe. Then (at that time I headed the business part of the APEC summit) two new breakthrough ideas arose- to strengthen the role and participation of Russian companies in European-Asian trade (Trans-Siberian Council, China, Kazakhstan, Russia, Europe, CIS) and slightly shift my focus towards Big Tech (artificial intelligence, nano and biotechnology). To date, I have left most projects of the Summer group, because in the format of the 210th article any business is doomed to stagnation or accelerated entropy.

If we talk about the future, I am much more interested in the Tech sector in the broadest sense-Nano, Bio, Info, Cognitive, I do not intend to return to a larger industry project, since I consider this a stage passed for myself. I am also interested in venture philanthropy, primarily projects related to cultural and historical heritage. In the past, I had a lot of such projects-the museums of Peter I in Holland, Kronstadt and Derbent, the creation of modern educational centers and business incubators, schools for talented youth, digitization projects of ancient manuscripts, Kala-Koresh, the frescoes of the Ferapontov Monastery, the V&A Museum can be listed for a long time. It is on such projects that I plan to focus in the future.

On October 7, the Brothers Ziyavudin and Magomed Magomedovs complete the familiarization with the materials of the criminal case, which were gained on 721 volumes and 126 packages of material evidence. The end of the acquaintance, on September 28, appointed the Tver District Court of Moscow. After that, the criminal case will be sent to the General Prosecutor's Office to approve the indictment in the final edition.
